We have an exciting opportunity for a Governance Manager (also known as Deputy Head of Co Sec) to join our Corporate Governance team in Salford Quays, Manchester or Haywards Heath, West Sussex.
Assisting the Head of Company Secretary in providing a high quality, professional and customer-focused service, you'll be responsible for the day-to-day running of the Department, Executive and Board governance, ensuring Departmental and Company Objectives are met and lead on identifying and delivering opportunities to improve the effectiveness and efficiency of our work.
You'll be responsible for the recording of Minutes, Actions and Decisions from Group Board and Executive meetings including the drafting of reports, maintaining of registers and analysis of information/data
To be successful in this role, you’ll need to have :
Strong technical knowledge and experience around corporate governance and its practical application, including report writing and analysis of key themes and trends
ICSA / The Chartered Governance Institute qualified or with equivalent experience
Knowledge of the legal and statutory responsibilities of both Directors and Companies in the relevant jurisdictions
Job Responsibilities:
Support the Head of Company Secretary in the organisation and management of all Group Board and Executive meetings as well as other forums as required.
To provide coaching and support to the Company Secretary team, reviewing workload and solving issues that arise
Support the Head of Company Secretary in the review, relevance and maintenance of Corporate Policies.
Undertake Board effectiveness reviews and implement appropriate frameworks based on the outcomes.
Assist the Head of Company Secretary in maintaining the register of Key Issues and monitor progress against agreed Actions and target dates.
Collate and draft Reporting Packs, working with all departments to coordinate inputs and assure overall quality.
Lead on the reporting and coordination of Executive Committee and Board materials and ensure timely distribution.
Lead of aspects of corporate and strategic governance with support from the Head of Company Secretary
To ensure a central Index of all material Board and/or sub-committee decisions, approvals, ratifications or any other material action taken is appropriately maintained and monitor that director, shareholder and Board/sub-committee decisions comply with agreed authorities
Ensure compliance with company and other relevant standards/regulations at all times including SM&CR and TCF.
Assist the Head of Company Secretary in the renewal of the Insurance cover for employees, equipment and premises.
Be fully aware of the Company’s Health & Safety Policy.
Job Specific Competencies:
Experience
ICSA qualified or with equivalent experience (Essential) Governance requirements and developments in practice.
Have excellent IT skills, including PowerPoint, Word and Excel.
Good numeracy and literacy skills.
Excellent communication skills, both verbal and written and relationship management skills, able to work with stakeholders at all levels of the organisation.
Ability to present pragmatic alternatives and propose solutions.
Have excellent attention to detail including proof reading skills.
Be able to identify and recommend improvements to existing processes, to align with developments in governance practice and improve effectiveness and efficiency.
Knowledge
Overview knowledge of other legislations (i.e. Companies Act, Health and Safety at Work Act).
Understanding of UK Motor Insurance industry.
